"My Story ~ WORLD WIDE PUBLISHING" Terms of Use

These Terms of Use (hereinafter referred to as "these Terms") set out the terms of use for the e-book publishing production and production agency service "Jibun Monogatari ~ WORLD WIDE PUBLISHING" (hereinafter referred to as "the Service") provided by Espicure Inc. (hereinafter referred to as "Party A"). Contractors who use the Service (hereinafter referred to as "Party B") are deemed to have agreed to these Terms.

Article 1 (Purpose and Scope of Business)

1. Party A will provide Party B with the services of converting Party B's copyrighted work (hereinafter referred to as the "Work") into an e-book, creating a cover, registering the Work for publication on the Amazon Kindle Store etc., and providing other related production services.

2. The specific scope of work and deliverables will be specified in the quotation or service plan details separately provided by Party A.

Article 2 (Attribution of Rights)

1. [Copyright] All copyrights for this work (including the rights under Articles 27 and 28 of the Copyright Act) are reserved by Party B. Party A will not be assigned any copyright.

2. [Use of Deliverables] The rights to the deliverables, such as the cover design and data created by Party A, will be transferred to Party B when Party B has paid the usage fee in full. However, Party A may publish the book cover and title of the work on its website and in promotional materials as part of its own production track record (portfolio).

Article 3 (Account and Royalties)

1. [Author Account] This work will be published using an account in your name on Amazon Kindle Direct Publishing (KDP).

2. [Receipt of royalties] Royalties for sales will be paid directly from the platform (Amazon, etc.) to the bank account designated by Party B. Party A will not receive or distribute royalties.

3. [Tax Processing] Tax information registration in the United States and tax processing such as tax returns in Japan shall be carried out at the sole responsibility of Party B.

Article 4 (KDP Select and Exclusive Distribution Obligations)

1. If you wish to receive a 70% royalty on Amazon (KDP Select), you are obligated to sell your Work exclusively on Amazon.

2. During the period in which the preceding paragraph is selected, Party B must not sell the book on other companies' e-book stores (such as Rakuten Kobo) or make the full text available for free on blogs, social media, etc. without Party A's consent. Party A will not be held responsible in any way if Party B violates this rule and is penalized by Amazon, such as by a reduction in royalties or the suspension of their account.

Article 5 (Prohibitions and Representations and Warranties)

You represent and warrant that, with respect to the content of the Work and your use of the Service, the following matters will be resolved: If any violation is discovered, we may immediately cease operations and terminate the contract.

1. [Prohibition of infringement of rights] The work must not infringe on the copyright, portrait rights, honor, or privacy of any third party. In particular, it must not include unauthorized reproduction or copying of content from other people's blogs or YouTube.

2. [Inappropriate Content] The content must not contain adult content, hate speech, violent content, or low-quality images or text automatically generated by AI (such as AI gravure).

3. [Prohibition of fraudulent activities] Do not offer money or goods in exchange for reviews or manipulate reviews by creating false reviews.

4. [Personal Information] The work must not contain any forms or links that request the reader to enter personal information (email address, address, etc.).

Article 6 (Disclaimer)

1. [No guarantee of results] Party A does not guarantee a specific number of sales, ranking on Amazon, or social evaluation of the Work.

2. [Platform Fluctuations] Party A shall not be liable for any damages caused by changes to the terms of use of platforms such as Amazon KDP, system failures, or account suspensions (bans), except in cases where such damages are caused by Party A's willful misconduct or gross negligence.

3. [Publication Review] If the platform's review does not approve the publication, Party A will provide advice on revisions, but cannot guarantee publication.

Article 7 (Cancellation and Refund)

1. If you cancel after the contract is signed but before production work has begun, we will refund the amount excluding bank transfer fees.

2. In the event of cancellation due to Party B's circumstances after production work has begun, the basic fee and the cost of work already performed will not be refunded.

Article 8 (Confidentiality)

Party A and Party B shall not disclose or leak to any third party any trade secrets or personal information of the other party that they learn through the performance of this Agreement.

Article 9 (agreed jurisdiction)

Any dispute arising from these Terms and Conditions shall be submitted to the exclusive jurisdiction of the district court having jurisdiction over [your company's location].
